Terms of Service

1. ELIGIBILITY

The Services are intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to use or register for the Services. By using the Services, you represent and warrant that you are at least 18 years old and that your use of the Services does not violate any applicable law or regulation.

2. ACCOUNTS AND REGISTRATION

To access certain features of the Services, you may be required to register for an account. When you register, you agree to provide accurate, current, and complete information and to keep this information updated. You are solely responsible for maintaining the confidentiality of your account and password and for all activities that occur under your account. The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction where such distribution or use would be contrary to law or regulation. The Services are not tailored to comply with industry-specific regulations (such as HIPAA, FISMA, etc.). You may not use the Services in a way that would violate applicable laws, including the Gramm-Leach-Bliley Act (GLBA).

4. LICENSES AND RESTRICTIONS

Subject to your compliance with these Terms, Simplifine grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your personal, non-commercial use or internal business purposes.

You may not: (a) copy, modify, or create derivative works of the Services; (b) reverse engineer or attempt to extract the source code; (c) use the Services for any illegal purpose; (d) attempt to interfere with or disrupt the Services; (e) scrape, mine, or extract data from the Services; or (f) use the Services in any manner that could damage or overburden the Services.

5. USER SUBMISSIONS AND CONTRIBUTIONS

When you submit content to the Services ("Contributions"), you grant us a worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content. You represent and warrant that you own or have the rights to the content you submit and that your Contributions do not violate any third party's rights.

We reserve the right to remove any Contributions that violate these Terms or that we find objectionable for any reason, without notice.

6. PROHIBITED ACTIVITIES

You agree not to:

• Use the Services for any unlawful purpose or in violation of these Terms
• Post or transmit harmful, fraudulent, or deceptive content
• Impersonate another person or misrepresent your affiliation
• Interfere with the proper functioning of the Services

• Violate the rights of others, including intellectual property rights

7. PAYMENT TERMS

All purchases are non-refundable. You agree to provide accurate and complete payment information and to promptly update your account information if there are any changes. We reserve the right to change our prices at any time. All payments shall be in USD.

8. OWNERSHIP AND INTELLECTUAL PROPERTY

The Services, including all content, features, and functionality, are owned by Simplifine and its licensors and are protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any rights to use our trademarks, logos, or branding.

9. THIRD-PARTY CONTENT

The Services may contain links to third-party websites or content. We do not control, endorse, or assume responsibility for any third-party content, and you access such content at your own risk.

10. TERM AND TERMINATION

These Terms will remain in effect until terminated. We may terminate or suspend your account or access to the Services at any time, for any reason, without notice. Upon termination, your right to use the Services will immediately cease.

11. DISCLAIMERS AND LIMITATIONS OF LIABILITY

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIMPLIFINE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IN NO EVENT WILL SIMPLIFINE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE PAST SIX MONTHS, OR $100, WHICHEVER IS GREATER.

12. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Simplifine and its affiliates from and against any claims, liabilities, damages, losses, and expenses arising from your use of the Services or your violation of these Terms.

13. DISPUTE RESOLUTION

Any dispute arising from these Terms shall be resolved through binding arbitration conducted in accordance with the American Arbitration Association's rules. Any arbitration shall take place in San Francisco, California. You agree to waive your right to participate in a class action lawsuit.

For any disputes not subject to arbitration, you agree to submit to the personal jurisdiction of the courts located in California.

14. MISCELLANEOUS

These Terms constitute the entire agreement between you and Simplifine regarding the Services. If any provision of these Terms is found to be unenforceable, that provision will be limited to the minimum extent necessary. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

We may update these Terms at any time by posting the amended terms on our website. Your continued use of the Services after changes are posted constitutes your acceptance of the amended Terms.
